The Firm can help you open your business, obtain the necessary permits, state and federal tax identification numbers, copyrights, trademarks and patents on your idea, form your legal entity, such as a corporation or partnership, negotiate leases, set up your new company’s employment manuals and practices and obtain appropriate insurance for your new project. We draft sales contracts, employment contracts, and distribution agreements.

For its business clients, the Firm drafts buy-sell agreements and develops other exit strategies for partners, shareholders and LLC members.

The Firm also files trademark registrations for logos, names or slogans and registers copyrights for businesses that need to protect their intellectual property. The Firm assists clients in enforcing their intellectual property rights and regularly issues Takedown Notices and Cease & Desist letters, as well as the ensuing litigation, if necessary.

WLC also provides its clients with general business transactional advice and assists in the drafting of leases, asset and stock purchase and sale agreements, private placement memoranda, confidentiality agreements, nondisclosure agreements, employment and severance agreements, and other agreements to protect trade secrets and proprietary information.
